Public Offer for Concluding a Donation Agreement

1. The meaning of this public offer
1.1. According to the article 633, 641 and chapter 63 of the Civil Code of Ukraine this offer is a public offer (hereinafter – “Offer”) and on this basis this offer is legally equivalent to the Donation Agreement concluded in writing by accepting the Offer of donors.
1.2. This public offer is a proposal of the Non-government organization “Expert-KR” (hereinafter – the “Recipient”), the details of which are listed in section 7 of the Offer, to enter into an agreement with any person who responds to the Offer (hereinafter – “Donors”), the contract of donations (“Agreement”), under the conditions set out below.
1.3. The offer comes into force from the day following the day of its publishing on the official website of the Recipient on the Internet at the address:
1.4. The offer is valid indefinitely. The Recipient has the right to cancel the Offer at any time without explanation.
1.5. The Offer may be amended which shall take effect from the day following the day of publishing the Offer in a new edition on the Recipient’s website.
1.6. The invalidity of one or more conditions of the Offer does not entail the invalidity of all other conditions of the Offer.
1.7. The location of the Offer is considered to be the city of Kryvyi Rih, Ukraine.

2. Significant terms of the contract
2.1. Subject of a contract. The Donor transfers the money (donation) to the Recipient’s property free of charge for public benefit purposes.
2.2. The Donor independently determines the amount, type and method of making a donation, or chooses from the options offered on the official website of the Recipient.
2.3. The recipient undertakes to accept the donation and use it to achieve its statutory purposes. If the donation is transferred to the Recipient for specific activities, events, projects and for objective reasons cannot be fully or partially spent in accordance with the purpose specified by the Donor, the Donor agrees that the Recipient uses his donation for other actions, events, projects within the statutory activities of the Recipient.
2.4. At the request of the Donor (in the form of an e-mail or regular letter), the Recipient is obliged to provide the Donor with information on whether donations have been received from him.
2.5. The Recipient publishes reports on its activities, use of funds received in the form of donations on the Recipient’s website at:

3. The procedure for concluding the Agreement
3.1. The Agreement is concluded by accepting the Offer by the Donor.
3.2. The Performance by the Donor of any actions provided in Section 4 of the Agreement shall be deemed acceptance of the Offer in accordance with articles 633, 641 and chapter 63 of the Civil Code of Ukraine. Acceptance is a confirmation that the Donor has read the terms of the Agreement and fully agrees with them.
3.3. The date of acceptance of the Offer and, accordingly, the date of conclusion of the Agreement is the date of receipt of funds from the Donor to the current account of the Recipient or the payment system, the services of which were used by the Donor. The place of concluding the Agreement is considered to be the city of Kryvyi Rih, Ukraine.

4. Certain conditions of making a donation
4.1. The Donor may transfer the donation to the Recipient using any payment instruments listed on the Recipient ‘s website at
4.2. The donor independently determines the amount of regular (or one-time) donation by choosing the amount of write-off from the proposed options or entering own option.
4.3. When transferring the donation should take into account the following:
4.3.1. The donor can issue an order on the website for regular (monthly) debiting of the donation from the bank card.
The order is considered issued after the successful completion of the first debit from the card using 3DS authentication, if the Donor has activated the relevant service in his bank to provide additional security when making online payments and receive notification of successful debit to the e-mail address specified by the Donor.
Regular write-off order is valid until the expiration date of the holder’s card or until the Donor submits a written notice of termination of the write-off order.
Notification must be sent to the e-mail address specified on the official website of NGO “EXPERT-KR”, not less than 15 calendar days before the date of the next automatic write-off. The message must contain the following information: last name and first name, as indicated on the bank card; card mask (first 6 and last 4 digits of the card number), from which funds are automatically debited; the e-mail address to which the Recipient will send a confirmation of termination of regular write-off.
4.3.2. Transfer of donations to the Recipient’s account by debiting funds from the mobile phone account is allowed only from telephone numbers issued to an individuals.
4.3.3. When transferring a donation by debiting from a bank account in a bank branch or through a personal account on the website of the Donor’s bank or by transferring through a bank branch without opening a bank account when making a payment, indicate “Donation for statutory activities” and, if desired, add project name the Recipient specified on the official website

5. Personal data processing consent
5.1. By transferring the donation, the Donor hereby agrees to the Recipient’s processing of his personal data, which includes (depending on the method of transfer of the donation): surname, name, patronymic, residence address, telephone number, e-mail address.
5.2. The Recipient processes the personal data of the Donor in order to fulfill the Agreement, as well as to inform the Donor about the activities of the Recipient, in particular about the use of the donation made by him.
5.3. The Recipient undertakes not to disclose to third parties and not to disseminate personal data of the Donor without his written consent, except in cases of request for this information by public authorities with appropriate powers, as well as when the Recipient instructs a third party to act on behalf of the Recipient that inevitably involve the use of personal data.
5.4. Consent to the processing of personal data is given by the Donor for an indefinite period. Consent may be revoked at any time by sending a letter to the address specified in section 7 of the Offer, or to the e-mail address specified on the official website of NGO “EXPERT-KR”, in the section “contacts”

6. Other conditions
6.1. The Recipient shall have no obligations to the Donor other than those specified in this Agreement.
6.2. In case of disputes and disagreements between the Recipient and the Donor under this agreement, they will be resolved through negotiations. In case of impossibility to resolve the dispute through negotiations, disputes and disagreements that may be resolved in accordance with the current legislation of Ukraine in the courts at the location of the Recipient.
6. Other conditions
6.1. The Recipient shall have no obligations to the Donor other than those specified in this Agreement.
6.3. If the amount of money was transferred to the Recipient by mistake, and the person who transferred the money, who did not actually intend to make a donation to the Recipient, the Recipient has the right to return the erroneously transferred amount. To return erroneously transferred funds, it is necessary to submit a written application to the Director of the Recipient within 5 (five) calendar days from the date of transfer of the donation, explaining the reason for erroneous transfer of funds and indicating the bank account to which the Recipient can transfer funds.
